Tăng tỷ lệ cho vay lại vốn vay ODA đối với UBND cấp tỉnh
Từ 01/7/2018, Nghị định 97/2018/NĐ-CP về cho vay lại vốn vay ODA, vay ưu đãi nước ngoài của Chính phủ bắt đầu có hiệu lực.
Theo đó, tăng tỷ lệ cho vay lại vốn vay ODA, vay ưu đãi (vốn vay) đối với UBND cấp tỉnh, cụ thể như sau:
- Tăng tỷ lệ cho vay lại từ 10% lên 30% vốn vay đối với địa phương có tỷ lệ bổ sung cân đối từ ngân sách trung ương (NSTW) so với tổng chi cân đối ngân sách địa phương (NSĐP) từ 70% trở lên;
- Tăng tỷ lệ cho vay lại từ 20% lên 40% vốn vay đối với địa phương có tỷ lệ bổ sung cân đối từ NSTW so với tổng chi cân đối NSĐP từ 50% đến dưới 70%;
- Tăng tỷ lệ cho vay lại từ 30% lên 50% vốn vay đối với địa phương có tỷ lệ bổ sung cân đối từ NSTW so với tổng chi cân đối NSĐP dưới 50%;
- Tăng tỷ lệ cho vay lại từ 50% lên 70% vốn vay đối với địa phương có điều tiết về NSTW (trừ Hà Nội, Thành phố Hồ Chí Minh);
- Tăng tỷ lệ cho vay lại từ 80% lên 100% vốn vay đối với Hà Nội và Thành phố Hồ Chí Minh.
Nghị định 97/2018/NĐ-CP thay thế Nghị định 78/2010/NĐ-CP và Nghị định 52/2017/NĐ-CP ngày 28/4/2017.

Nghị định này quy định về quản lý, thực hiện việc cho vay lại, thu hồi vốn cho vay lại vốn vay ODA, vốn vay ưu đãi nước ngoài của Chính phủ.
Điều 2. Đối tượng áp dụng1. Bên vay lại vốn vay ODA, vay ưu đãi nước ngoài của Chính phủ theo quy định của Luật Quản lý nợ công.
2. Bộ Tài chính và cơ quan được Bộ Tài chính ủy quyền cho vay lại.
3. Cơ quan, tổ chức, cá nhân có liên quan trong quá trình quản lý, thực hiện việc cho vay lại và thu hồi vốn cho vay lại vốn vay ODA, vốn vay ưu đãi nước ngoài của Chính phủ.
Điều 3. Giải thích từ ngữNgoài các từ ngữ đã được quy định trong Luật Quản lý nợ công, tại Nghị định này, các từ ngữ dưới đây được hiểu như sau:
1. “Thỏa thuận vay nước ngoài” là các hiệp định, hợp đồng, thỏa thuận vay vốn ký kết nhân danh Nhà nước, Chính phủ với bên cho vay nước ngoài.
2. “Hợp đồng cho vay lại” là hợp đồng hoặc hiệp định vay phụ ký giữa Bộ Tài chính hoặc cơ quan được ủy quyền cho vay lại với bên vay lại về việc cho vay lại.
3. “Hợp đồng ủy quyền cho vay lại” là hợp đồng ký giữa Bộ Tài chính với cơ quan được ủy quyền cho vay lại để ủy quyền việc thực hiện cho vay lại quản lý khoản vay lại và thu hồi nợ, bao gồm cả phương thức cơ quan được ủy quyền cho vay lại chịu rủi ro tín dụng.
4. “Thời gian ân hạn” là khoảng thời gian theo đó bên vay lại đã nhận nợ và chưa phải trả gốc khoản vay lại nhưng phải trả đầy đủ các khoản lãi và phí phát sinh theo hợp đồng cho vay lại.
Điều 4. Xây dựng hạn mức cho vay lại 05 năm1. Xây dựng hạn mức cho vay lại 05 năm đối với đơn vị sự nghiệp công lập, doanh nghiệp:
Trước ngày 30/6 năm thứ năm của kế hoạch vay, trả nợ công 05 năm, để đăng ký kế hoạch vay lại cho 05 năm tiếp theo, đơn vị sự nghiệp công lập, doanh nghiệp (sau đây gọi chung là Bên vay lại) gửi Bộ Tài chính các tài liệu sau:
a) Đánh giá tình hình thực hiện, tình hình giải ngân các khoản cho vay lại đã ký kết, dự kiến tổng số giải ngân trong giai đoạn 05 năm hiện tại;
b) Đăng ký nhu cầu giải ngân các khoản cho vay lại đã ký kết, nhu cầu vay mới để cho vay lại giai đoạn 05 năm tiếp theo; kèm theo đánh giá sơ bộ về khả năng bố trí nguồn trả nợ;
c) Ý kiến của cơ quan chủ quản về đăng ký nhu cầu giải ngân của các chủ dự án đối với các doanh nghiệp và đơn vị sự nghiệp công lập.
2. Xây dựng hạn mức cho vay lại 05 năm đối với Ủy ban nhân dân cấp tỉnh
Hạn mức cho vay lại 05 năm đối với Ủy ban nhân dân cấp tỉnh là một bộ phận trong kế hoạch vay, trả nợ 05 năm của chính quyền địa phương. Quy trình xây dựng hạn mức cho vay lại thực hiện theo quy định của Nghị định về quản lý nợ chính quyền địa phương.
3. Căn cứ chỉ tiêu an toàn nợ công; chỉ tiêu tổng mức vay và bội chi của ngân sách địa phương trong kế hoạch tài chính 05 năm đối với phân cho vay lại Ủy ban nhân dân cấp tỉnh, Bộ Tài chính tổng hợp nhu cầu của các bộ, cơ quan trung ương, địa phương, xây dựng hạn mức cho vay lại 05 năm, báo cáo Chính phủ để trình Ủy ban thường vụ Quốc hội, Quốc hội.
Điều 5. Xây dựng kế hoạch cho vay lại và hạn mức cho vay lại hằng năm1. Xây dựng kế hoạch cho vay lại và hạn mức cho vay lại hằng năm đối với đơn vị sự nghiệp công lập, doanh nghiệp:
Trước ngày 20/7 hằng năm, để xây dựng kế hoạch cho vay lại và hạn mức cho vay lại hằng năm, Bên vay lại gửi Bộ Tài chính báo cáo về:
a) Đánh giá tình hình thực hiện, trị giá giải ngân, trả nợ cho vay lại của năm và lũy kế từ khi thực hiện khoản vay đến năm trước năm kế hoạch; trị giá chưa thực hiện; chi tiết theo từng dự án, từng năm;
b) Dự kiến trị giá sẽ thực hiện trong năm kế hoạch của các khoản cho vay lại đã ký kết, các khoản sẽ ký kết mới.
2. Xây dựng kế hoạch cho vay lại hằng năm đối với Ủy ban nhân dân cấp tỉnh:
a) Kế hoạch cho vay lại hằng năm đối với Ủy ban nhân dân cấp tỉnh là một bộ phận trong kế hoạch vay, trả nợ hằng năm của chính quyền địa phương. Quy trình xây dựng kế hoạch thực hiện theo quy định tại Nghị định về quản lý nợ của chính quyền địa phương;
b) Nội dung kế hoạch cho vay lại hằng năm đối với Ủy ban nhân dân cấp tỉnh cần tổng hợp theo từng khoản vay, trả nợ cho vay lại, đảm bảo khả năng trả nợ của chính quyền địa phương.
3. Căn cứ hạn mức cho vay lại 05 năm, nhu cầu đăng ký kế hoạch của các bên vay lại, chủ dự án; chỉ tiêu an toàn nợ công, Bộ Tài chính tổng hợp kế hoạch cho vay lại hàng năm chi tiết theo từng nguồn vay, trình Chính phủ phê duyệt tổng hạn mức cho vay lại hằng năm và trình Thủ tướng Chính phủ xem xét, phê duyệt trong kế hoạch vay, trả nợ của Chính phủ hằng năm.
4. Trường hợp giải ngân vượt kế hoạch cho vay lại hằng năm, Bộ Tài chính tổng hợp trình Chính phủ điều chỉnh kế hoạch đảm bảo nguyên tắc:
a) Đối với cho đơn vị sự nghiệp công lập, doanh nghiệp vay lại, theo tiến độ thực hiện dự án;
b) Đối với vốn cho vay lại Ủy ban nhân dân cấp tỉnh, việc giải ngân không vượt quá mức vay hằng năm được Quốc hội quyết định.
Điều 6. Đồng tiền cho vay lại và thu nợ cho vay lại1. Đồng tiền cho vay lại là đồng tiền Chính phủ vay nước ngoài.
2. Đồng tiền thu nợ cho vay lại là đồng tiền cho vay lại. Trường hợp bên vay lại trả nợ bằng Đồng Việt Nam, cơ quan cho vay lại áp dụng tỷ giá bán đồng tiền cho vay lại tại thời điểm trả nợ do Ngân hàng thương mại cổ phần Ngoại thương Việt Nam công bố để thu nợ.
Điều 7. Thời hạn trả nợ và thời gian ân hạn cho vay lại1. Đối với bên vay lại là Ủy ban nhân dân cấp tỉnh: Thời hạn trả nợ và thời gian ân hạn cho vay lại bằng thời hạn trả nợ và thời gian ân hạn quy định tại thỏa thuận vay nước ngoài.
2. Đối với bên vay lại là đơn vị sự nghiệp công lập, doanh nghiệp:
a) Thời hạn trả nợ bằng thời gian hoàn vốn trong dự án đầu tư (báo cáo nghiên cứu khả thi) được cấp có thẩm quyền phê duyệt nhưng không vượt quá thời hạn trả nợ quy định tại thỏa thuận vay nước ngoài;
b) Thời gian ân hạn bằng thời kỳ xây dựng cho đến khi dự án được đưa vào hoạt động nêu trong dự án đầu tư (báo cáo nghiên cứu khả thi) được cấp có thẩm quyền phê duyệt nhưng không vượt quá thời gian ân hạn quy định tại thỏa thuận vay nước ngoài;
c) Thời hạn trả nợ và thời gian ân hạn cho vay lại được tính từ khi bắt đầu thời hạn trả nợ và thời gian ân hạn của khoản vay nước ngoài.
3. Trong trường hợp có chênh lệch về thời hạn và thời gian ân hạn giữa khoản vay nước ngoài và khoản cho vay lại, nguồn thu hồi nợ cho vay lại chưa trả nợ nước ngoài được đưa vào Quỹ Tích lũy trả nợ.
Điều 8. Lãi suất cho vay lạiLãi suất cho vay lại được quy định tại khoản 5 Điều 34 của Luật Quản lý nợ công bao gồm lãi suất Chính phủ vay nước ngoài, các khoản phí theo quy định tại thỏa thuận vay nước ngoài, phí quản lý cho vay lại và dự phòng rủi ro cho vay lại.
Điều 9. Các khoản phí và chi phí liên quan của bên cho vay nước ngoài và phí ngân hàng trong và ngoài nước1. Bên vay lại chịu trách nhiệm trả đầy đủ các khoản phí và chi phí liên quan cho bên cho vay nước ngoài theo thỏa thuận vay nước ngoài và các loại phí dịch vụ ngân hàng trong và ngoài nước liên quan đến khoản vay lại. Các loại phí theo thỏa thuận vay nước ngoài bao gồm phí thu xếp vốn, phí quản lý, phí cam kết, phí rút vốn, phí bảo hiểm, các khoản phí và chi phí khác theo quy định của Pháp luật (nếu có).
2. Đối với các khoản phí, chi phí phải trả bên cho vay nước ngoài, bên vay lại trả thông qua cơ quan được ủy quyền cho vay lại để trả cho Bộ Tài chính. Đối với các loại phí dịch vụ ngân hàng, bên vay lại trả trực tiếp cho ngân hàng phục vụ.
Điều 10. Phí quản lý cho vay lại1. Mức phí quản lý cho vay lại bằng 0,25%/năm tính trên dư nợ vay lại, cụ thể như sau:
a) Ủy ban nhân dân cấp tỉnh, thành phố chuyển trả cho cơ quan cho vay lại (Bộ Tài chính) 0,25%/năm;
b) Doanh nghiệp, đơn vị sự nghiệp công lập trả cho cơ quan được ủy quyền cho vay lại 0,25%/năm. Trong đó, cơ quan được ủy quyền cho vay lại được hưởng 0,15%/năm và chuyển trả cho Bộ Tài chính 0,1%/năm.
2. Việc quản lý và sử dụng phí cho vay lại thực hiện theo cơ chế tài chính của cơ quan được ủy quyền cho vay lại. Việc quản lý và sử dụng phí cho vay lại của Bộ Tài chính thực hiện theo quy định của Thủ tướng Chính phủ.
Điều 11. Dự phòng rủi ro cho vay lại1. Dự phòng rủi ro cho vay lại theo quy định như sau:
a) Dự phòng rủi ro cho vay lại trong trường hợp cho vay lại Ủy ban nhân dân cấp tỉnh là 0%/năm/dư nợ vay lại;
b) Dự phòng rủi ro cho vay lại trong trường hợp cho vay lại đơn vị sự nghiệp công là 1%/năm/dư nợ vay lại;
c) Dự phòng rủi ro cho vay lại trong trường hợp cho vay lại doanh nghiệp là 1,5%/năm/dư nợ vay lại.
2. Trích nộp dự phòng rủi ro cho vay lại:
a) Trường hợp cơ quan được ủy quyền cho vay lại không chịu rủi ro tín dụng, dự phòng rủi ro cho vay lại được nộp vào Quỹ Tích lũy trả nợ;
b) Trường hợp cơ quan được ủy quyền cho vay lại chịu toàn bộ rủi ro tín dụng, dự phòng rủi ro cho vay lại được nộp cho cơ quan được ủy quyền cho vay lại. Cơ quan được ủy quyền cho vay lại thực hiện phân loại nợ, trích lập và sử dụng dự phòng để xử lý rủi ro tín dụng theo quy định của pháp luật về hoạt động tín dụng và các văn bản pháp luật liên quan.
Điều 12. Lãi phạt chậm trả1. Trường hợp không trả nợ đúng hạn bất kỳ khoản nợ nào bao gồm gốc, lãi phí và các chi phí liên quan khác theo quy định của pháp luật (nếu có), bên vay lại phải trả lãi phạt chậm trả theo mức quy định tại khoản 2, khoản 3 Điều này.
2. Đối với các khoản chậm trả gốc, lãi, phí trong thỏa thuận vay nước ngoài, lãi suất phạt chậm trả được xác định theo quy định tại thỏa thuận vay nước ngoài. Trường hợp tại thỏa thuận vay nước ngoài không quy định, lãi suất chậm trả bằng 150% lãi suất Chính phủ vay nước ngoài.
3. Đối với các khoản phí quản lý cho vay lại, dự phòng rủi ro chậm trả, lãi suất phạt chậm trả bằng 150% phí quản lý, dự phòng rủi ro quy định tại Điều 10, 11 của Nghị định này.
4. Số ngày quá hạn được tính kể từ ngày đến hạn mà không trả nợ cho đến ngày trước ngày thực trả một ngày.
Điều 13. Số ngày của một năm để tính lãi, phí, dự phòng rủi ro cho vay lạiSố ngày của một năm để tính lãi, lãi chậm trả, các khoản phí trả cho bên cho vay nước ngoài, phi quản lý cho vay lại và dự phòng rủi ro cho vay lại thực hiện theo quy định về số ngày của một năm khi tính lãi nêu tại thỏa thuận vay nước ngoài.
Điều 14. Nhận nợBên vay lại nhận nợ khoản vay lại tại cùng thời điểm Chính phủ nhận nợ với bên cho vay nước ngoài.
Điều 15. Thứ tự ưu tiên khi thu hồi nợ1. Đối với các khoản trả gốc, lãi và phí quy định trong hợp đồng cho vay lại, bên vay lại phải hoàn trả trước khi hoàn trả các khoản nợ khác của bên vay lại.
2. Trong trường hợp bên vay lại chỉ trả được một phần các nghĩa vụ đến hạn, thứ tự ưu tiên thu hồi nợ như sau: phí quản lý cho vay lại, dự phòng rủi ro cho vay lại, lãi phạt chậm trả, lãi quá hạn, lãi đến hạn, các khoản phí khác, gốc quá hạn, gốc đến hạn.
Điều 16. Bảo đảm tiền vay1. Bên vay lại phải sử dụng các biện pháp bảo đảm tiền vay bằng tài sản phù hợp với quy định của pháp luật, trừ trường hợp được miễn bảo đảm tiền vay theo quy định tại khoản 4 Điều này. Biện pháp bảo đảm tiền vay phải được nêu rõ trong Hợp đồng cho vay lại.
2. Tài sản bảo đảm tiền vay bao gồm tài sản hình thành từ vốn vay lại của Chính phủ và các tài sản hợp pháp khác của bên vay lại. Tài sản bảo đảm tiền vay phải được Bộ Tài chính chấp thuận trong trường hợp Chính phủ chịu rủi ro tín dụng hoặc cơ quan được ủy quyền cho vay lại chấp thuận trong trường hợp cơ quan được ủy quyền cho vay lại chịu rủi ro tín dụng.
3. Trị giá tài sản bảo đảm tiền vay tối thiểu bằng 120% (một trăm hai mươi phần trăm) trị giá gốc của khoản vay lại. Trường hợp giá trị của tài sản bảo đảm tiền vay giảm thấp hơn so với mức 120% giá trị dư nợ còn lại của khoản vay lại, bên vay lại có trách nhiệm bổ sung tài sản đảm bảo tiền vay nhằm đảm bảo mức tối thiểu nêu trên.
4. Không yêu cầu bảo đảm tiền vay trong trường hợp cho Ủy ban nhân dân cấp tỉnh vay lại hoặc trong trường hợp bên vay lại không thực hiện được việc bảo đảm tiền vay bằng tài sản theo quy định của pháp luật.
5. Cơ quan được ủy quyền cho vay lại và bên vay lại thực hiện các thủ tục bảo đảm tiền vay theo quy định pháp luật về giao dịch bảo đảm, quản lý tài sản bảo đảm tiền vay.
6. Việc xử lý tài sản bảo đảm để thu hồi nợ thực hiện theo quy định của pháp luật. Trường hợp cơ quan được ủy quyền cho vay lại không chịu rủi ro tín dụng, việc xử lý tài sản bảo đảm để thu hồi nợ phải được sự chấp thuận của Thủ tướng Chính phủ.
Điều 17. Trả nợ khoản vay lại1. Bên vay lại chủ động bố trí nguồn trong kế hoạch tài chính, dự toán ngân sách của bên vay lại để thực hiện trả nợ đầy đủ, đúng hạn theo hợp đồng cho vay lại. Việc trả nợ không phụ thuộc vào tình hình thực hiện các hợp đồng thương mại liên quan đến khoản vay lại.
2. Việc trả nợ khoản vay lại phải được bên vay lại bảo đảm trước khi trả các khoản nợ khác của bên vay lại.
3. Bên vay lại là đơn vị sự nghiệp công lập, doanh nghiệp mở tài khoản tập trung doanh thu của dự án vay lại và các nguồn thu hợp pháp khác tại cơ quan được ủy quyền cho vay lại để chuẩn bị nguồn cho việc trả nợ và duy trì số dư tối thiểu của tài khoản theo quy định tại Điều 35 Nghị định này. Việc mở tài khoản thực hiện trước khi giải ngân khoản vay lại.
4. Khi ký hợp đồng vay lại, Bên vay lại có trách nhiệm cam kết ủy quyền không hủy ngang cho cơ quan được ủy quyền cho vay lại được tự động trích bất kỳ tài khoản nào của Bên vay lại để thu nợ trong trường hợp Bên vay lại không trả nợ đầy đủ, đúng hạn.
5. Trong vòng 02 ngày làm việc kể từ ngày nhận được khoản trả nợ từ bên vay lại, cơ quan cho vay lại hoặc cơ quan được ủy quyền cho vay lại chuyển toàn bộ số thu hồi nợ (gốc, lãi phí...) vào Quỹ Tích lũy trả nợ, sau khi trích lại phần phí quản lý cho vay lại được hưởng theo quy định tại khoản 1 Điều 10 Nghị định này. Đối với các ngân hàng chính sách được ủy quyền cho vay lại nhiều khoản vay, thời hạn trả nợ cho Bộ Tài chính thực hiện hằng tháng theo quy định tại Nghị định của Chính phủ về quản lý Quỹ Tích lũy trả nợ.
Điều 18. Trả nợ trước hạn1. Bên vay lại có thể thực hiện trả nợ trước hạn nếu thỏa mãn các điều kiện về trả nợ trước hạn quy định tại thỏa thuận vay nước ngoài và được Bộ Tài chính chấp thuận.
2. Trong trường hợp không có quy định về trả nợ trước hạn tại thỏa thuận vay nước ngoài, bên vay lại chỉ thực hiện trả nợ trước hạn nếu được Thủ tướng Chính phủ (trường hợp cơ quan được ủy quyền cho vay lại không chịu rủi ro tín dụng) hoặc cơ quan được ủy quyền cho vay lại (trường hợp cơ quan này chịu rủi ro tín dụng) chấp thuận.
3. Để trả nợ trước hạn, bên vay lại gửi Bộ Tài chính và cơ quan được ủy quyền cho vay lại đề nghị bằng văn bản chậm nhất 90 ngày trước ngày dự kiến trả nợ để Bộ Tài chính hoặc cơ quan được ủy quyền cho vay lại trao đổi với bên cho vay nước ngoài và báo cáo cấp có thẩm quyền xem xét, quyết định.
4. Bên vay lại chịu mọi loại phí, chi phí phát sinh khi trả nợ trước hạn.
Điều 19. Chuyển giao nghĩa vụ nợ1. Bên vay lại chỉ được chuyển giao, chuyển nhượng nghĩa vụ nợ phát sinh từ các khoản vay lại trong trường hợp sau:
a) Có sự chấp thuận của Thủ tướng Chính phủ đối với trường hợp cơ quan được ủy quyền cho vay lại không chịu rủi ro tín dụng; hoặc
b) Có sự chấp thuận của cơ quan được ủy quyền cho vay lại và Bộ Tài chính đối với trường hợp cơ quan được ủy quyền cho vay lại chịu rủi ro tín dụng.
2. Khi có yêu cầu chuyển giao, chuyển nhượng nghĩa vụ nợ, bên vay lại báo cáo Bộ Tài chính hoặc cơ quan được ủy quyền cho vay lại nêu rõ lý do và chủ động thực hiện sau khi có văn bản chấp thuận của cơ quan có thẩm quyền quy định tại khoản 1 Điều này.
This Decree provides regulations on managing, on-lending and recovering loans borrowed from the government's ODA loans and foreign concessional loans.
1. The end borrower that borrows the Government’s ODA loans and foreign concessional loans as prescribed in the Law on Public Dept Management.
2. The Ministry of Finance and the representative agencies authorized by the Ministry of Finance for on-lending the loans.
3. The agencies, organizations and individuals related to the process of managing, on-lending and recovering loans derived from the Government’s ODA loans and foreign concessional loans.
Aside from the terms defined in the Law on Public Debt Management, the terms of this Decree are construed as follows:
1. “Foreign loan agreement” means a capital-borrowing agreement, contract or deal concluded on behalf of the State or the Government with a foreign lender.
2. “On-lending agreement” means an on-lending contract or a loan sub-agreement signed between the Ministry of Finance or the duly-authorized intermediary and the end borrower regarding the on-lending.
3. “On-lending authorization contract" means a contract signed between the Ministry of Finance and the duly-authorized intermediary to on-lend loans, manage the on-lent loans and recover the debts, including the measure in term of the duly-authorized intermediary bears all the credit risks.
4. "Grace period" means a period of time when the end borrower already received the loan and has not paid back the principal but has paid enough interests and expenses as prescribed in the on-lending agreement.
Article 4. Setting a five-year on-lending limit
1. Set a five-year on-lending limit for the public sector entity and enterprise:
Before June 30 in the fifth year of the five-year-plan on borrowing loans and repaying public debts for these entities to register for the second five-year plan; the public sector entity and the enterprise (hereinafter referred to as “End borrower” shall submit to the Ministry of Finance the following documents:
a. An evaluation report on the on-lending and disbursement of the loans specified in the agreement and on the total anticipated disbursement within the current period of 5 years.
b. An application form for the disbursement of on-lent loans specified in the signed agreement and for the new five-year on-lending period, enclosed with a preliminary evaluation of the potential for repaying debts.
c. A report on the opinions of the agency in charge about the application of the project managers requesting the disbursement for the enterprises and the public sector entities.
2. Setting a five-year on-lending limit for the People’s Committees of the provinces.
Setting a five-year on-lending limit for the People’s Committee of the province is part of the plan on borrowing loans and repaying debts within 05 years of the local government. The process for setting an on-lending limit shall comply with the regulations in the Decree on local government’s debt management.
3. In consideration of indicators of public debt safety, total loan target and the local budget deficit specified in the five year financial plan on on-lent loans granted to the People’s Committees of the provinces, the Ministry of Finance shall make a general report on the requests of the central or local departments and agencies, set a five-year on-lending limit, and send this general report and limit to the Government for the Government to forward them to the Standing Committee of the National Assembly and the National Assembly.
Article 5. Developing an on-lending plan and an annual on-lending limit
1. Develop an on-lending plan and set an annual on-lending limit for the public sector entity and enterprise:
Before July 20 every year to develop an on-lending plan and set an annual on-lending limit; the end borrower shall send the following documents to the Ministry of Finance:
a. An evaluation report on the on-lending process, disbursement value, repayment of annual on-lent loans and accumulation data from the time receiving the loans to the year before the plan year; unrealized value, details of each project and each year.
b. An anticipated report on the value will be used in the plan year and other on-lent loans specified in the signed agreement, and on-lent loans in the new agreement to be signed.
2. Developing an annual on-lending plan for the People’s Committees of the provinces:
a. The development of the annual on-lending plan for the People’s Committee of the province is part of the annual plan on borrowing loans and repaying debts of the local government. The process of developing the plan shall comply with the regulations in the Decree on local Government’s debt management;
b. The contents of the annual on-lending plan for the People's Committee of the province shall include the loans, repayments for on-lent loans and the solvency of the local government.
3. Based on the five-year on-lending limit, the application of the end borrowers and project managers, and the indicators of public debt safety, the Ministry of Finance shall make a specific consolidated report on the annual on-lending plan and submit it to the Government for getting an approval for the total annual on-lending limit, then forward this report to the Prime Minister for consideration and approval for the plan of the Government on borrowing loans and repaying debts.
4. If the disbursement exceeds the annual on-lending plan, the Ministry of Finance shall make a consolidated report on this case and submit this report to the Government for making adjustments to the plan in order to ensure national principles.
a. If the Government on-lends the loans to public sector entities and enterprises, the project implementation schedule shall be followed.
b. If the Government on-lends the loans to the People’s Committee of the province, the disbursement shall not exceed the annual loans which are approved by the National Assembly.
Article 6. On-lending currency and debt recovery currency
1. On-lending currency is the currency in which the external loan is borrowed by the Government.
2. Debt recovery currency is the currency in which the on-lent capital is denominated. If the end borrower repays the debt in Vietnam Dong, the intermediary shall apply the selling rate of this currency set by the Joint stock Commercial Bank for Foreign Trade of Vietnam at the time making the repayment in order to recover the debt.
Article 7. Repayment period and grace period
1. If the end borrower is the People's Committee of the province, the repayment period and the grace period shall comply with the regulations in the foreign loan agreement.
2. If the end borrower is the public sector entity or enterprise:
a. The repayment period shall be equal to the capital recovery period under the investment project (feasibility study report) which is approved by the competent authority, but shall not exceed the grace period specified in the foreign loan agreement.
b. The grace period shall be equal to the construction period, which will last until the project is put into operation as mentioned in the investment project (feasibility study report) approved by the competent authority, but shall not exceed the grace period specified in the foreign loan agreement. .
c. The repayment period and the grace period of on-lent loans shall start from the beginning of repayment period and grace period of foreign loans.
3. If there is any difference in the repayment period and the grace period between the foreign loans and the on-lent loans, the recovery of on-lent loans which are not paid to the foreign lender shall be included in the Accumulation Fund for Debt Payment.
Article 8. On-lending interest rate
The on-lending interest rate is specified in clause 5, Article 34 of the Law on Public Debt Management including the interest rate of loans borrowed from a foreign country of the Government, the charges specified in the foreign loan agreement, and the management charge of on-lent loans and loan-loss provision.
Article 9. The charges and relevant costs collected by foreign lender and the charges for domestic and foreign banks.
1. The end borrower shall take full responsibility for paying all the charges and relevant costs to the foreign lender as prescribed in the foreign loan agreement and all the service charges to domestic and foreign banks related to the on-lent loans. The charges specified in the foreign loan agreement shall include the capital arrangement fees, management fees, commitment fees, withdrawal fees, insurance premiums and other charges and costs as prescribed by laws (if any).
2. The end borrower shall pay the charges and costs to the foreign lender through the duly-authorized intermediary, and this intermediary in turn shall pay them to the Ministry of Finance. The end borrower shall pay the service charges directly to the banks which provide service to it.
Article 10. Management fees of on-lent loans.
1. The rate of management fees of on-lent loans shall be 0.25% per year, to be calculated based on the loan balance as follows:
a. The People’s Committee of the province or city shall transfer the amount of money to the intermediary (Ministry of Finance) which is equal to 0.25% per year.
b. The enterprise and public sector entity shall pay for the duly-authorized intermediary an amount of 0.25% per year. The duly-authorized intermediary shall be entitled to 0.15% per year and shall transfer the payment of 0.1% per year to the Ministry of Finance.
2. The management and use of the on-lending charge shall comply with the financial mechanism of the duly-authorized intermediary. The management and use of on-lending charges of the Ministry of Finance shall be carried out in accordance with the regulations of the Prime Minister.
Article 11. Loan loss provision
1. The loan loss provision shall be carried out as follows:
a. The loan loss provision applied to the People's Committee of the province shall be equal to 0% per year per loan balance.
b. The loan loss provision applied to the public sector entities shall be equal to 1% per year per loan balance.
c. The loan loss provision applied to the enterprises shall be equal to 1.5% per year per loan balance.
2. Deductions for loan loss provision:
a. If the duly-authorized intermediary does not bear credit risks, the loan loss provision shall be paid to the Accumulation Fund for Debt Payment.
b. If the duly-authorized intermediary bears all the credit risks, the loan loss provision shall be submitted to this intermediary. The duly-authorized intermediary shall classify debts, deduct and use the loan loss provision to handle credit risks according to the law on credits and other relevant legal documents.
Article 12. Late payment interest
1. If the end borrower does not repay the principal, interests and other relevant costs on time as prescribed by laws (if any), it shall pay for the late payment interest as prescribed in the regulations in clause 2, clause 3 of this Article.
2. If the late payment includes the principal, interests and costs specified in the foreign loan agreement, the late payment interest rate shall be determined in accordance with the regulations in the aforesaid agreement. If the foreign loan agreement does not specify the late payment interest rate, this rate shall be equal to 150% of the rate which the Government repays to the foreign lender.
3. As for the management fees of on-lent loans and loan loss provision, the late payment interest rate shall be equal to 150% of the management fees and loan loss provision specified in Article 10 and 11 hereof.
4. The number of days beyond limit shall be counted from expiration date of repayment period to the date before the date on which the repayment is received.
Article 13. The number of days within a year to be counted for determining the interests, charges and loan loss provision
The number of days within a year counted to determine the interests, late payment interest, charges paid to foreign lender, management fees of on-lent loans and loan loss provision shall comply with the regulations specified in the foreign loan agreement.
Article 14. Debt acknowledgement
The end borrower shall acknowledge the debts at the time the Government acknowledges the debts to the foreign lender.
Article 15. Order of priority for recovering loans
1. The end borrower shall repay the principal, interest and charges specified in the on-lending agreement before repaying its other debts.
2. If the end borrower can only pay one part of its debt on the due date, the order of priority for recovering loans shall be set as follows: management fees of on-lent loans, loan loss provision, late payment interest, overdue debt interest, due debt interest, other charges, overdue principal and due principal.
1. The end borrower shall use the asset-based lending method prescribed by law, except cases exempted from collateral as prescribed in clause 4 of this Article. The loan security shall be specified in the on-lending agreement.
2. The collateral shall include assets originating from the Government’s on-lent loans and/or other legal assets of the end borrower. The collaterals shall be approved by the Ministry of Finance if the Government bears the credit risks or approved by the duly-authorized intermediary if this intermediary bears the credit risks.
3. The value of the collateral shall be equal to a minimum of 120% (one hundred and twenty percents) of the original value of an on-lent loan. If the value of the collateral is reduced to be lower than 120 % of the remaining value of the loan, the end borrower shall add another collateral to ensure the above percentage.
4. If the People’s Committee of the province applies for an on-lent loan or if the end borrower cannot not offer collateral for a loan as prescribed by law, it is not required to provide any collateral.
5. The duly-authorized intermediary and the end borrower shall complete the procedures for providing collateral as prescribed by the Law on secured transactions and collateral management.
6. The handling of collaterals for debt recovery shall be carried out in accordance with laws. If the duly-authorized intermediary does not bear the credit risks, the handling of guarantees for debt recovery shall be approved by the Prime Minister.
Article 17. Repayment on on-lent loans
1. The end borrower shall allocate budget from the financial plan or budget estimates of the end borrower in order to make full repayment on time as prescribed in the on-lending agreement. The repayment shall not depend on the progress of implementing the commercial contracts on on-lent loans.
2. The end borrower shall make a repayment on on-lent loans before repaying other debts.
3. The end borrower which is a public sector entity or enterprise shall open an account for collecting revenue earned from the on-lent project and other legal sources of revenue earned by the duly-authorized intermediary in order to prepare the repayment and maintain the minimum balance of the account as prescribed in Article 35 hereof. Such account shall be opened before disbursement of the on-lent loans.
4. When signing the on-lending agreement, the end borrower shall irrevocably authorize the duly-authorized intermediary to deduct any of its account in order to recover debt if it cannot make full repayment on time; it is an irrevocable authorization.
5. Within 2 working days from the date on which the repayment from the end borrower is received, the intermediary or the duly-authorized intermediary shall transfer the total repayment (principal, interest, charges, etc. ) to the Accumulation Fund for Debt Payment after deducting the management fees of on-lent loans as prescribed in clause 1, Article 10, hereof. As for the banks that have policy on authorization for on-lending multiple loans, the period making repayment to the Ministry of Finance shall be carried out monthly as prescribed in the Government's Decree on managing Accumulation Fund for Debt Payment.
Article 18. Pre-maturity payment
1. The end borrower may pay debt before maturity if it satisfies the requirements for pre-maturity payment as prescribed in the foreign loan agreement and if it is approved by the Ministry of Finance.
2. If there is no regulation on pre-maturity payment in the foreign loan agreement, the end borrower shall only make a pre-maturity payment when it is approved by the Prime Minister (if the duly-authorized intermediary does not bear the credit risks) or by the duly-authorized intermediary (if this agency bears the credit risks).
3. The end borrower shall send a request document to the Ministry of Finance and the duly-authorized intermediary within 90 days before the repayment due date in order to make a pre-maturity payment; the Ministry of Finance or the duly-authorized intermediary shall communicate with the foreign lender and report about this request to the competent authority for consideration and decision-making.
4. The end borrower shall pay all the charges and costs when making a pre-maturity payment.
Article 19. Handing over debt obligation
1. The end borrower shall only hand over and transfer the debt obligation incurred from on-lent loans if it is:
a. Approved by the Prime Minister when the duly-authorized intermediary does not bear the credit risks; or
b. Approved by the duly-authorized intermediary and the Ministry of Finance when this intermediary bears the credit risks.
2. When the end borrower is requested to hand over or transfer the debt obligation, it shall report and provide explanation about this request to the Ministry of Finance or the duly-authorized intermediary and take charge to implement the approval document from the competent authority mentioned in clause 1 of this Article.
